Key Takeaways
- Full cash exercise of public warrants could generate about $132.2 million.
- Completed advance and delayed placements brought $224.55 million in cash.
- Ripple contributed 126,791,458 XRP to Evernorth’s operating subsidiary.
Evernorth Plans Further XRP Purchases Through Capital Raising
Buying additional XRP forms part of the financing strategy that Evernorth Holdings Inc. (Nasdaq: XRPN) outlined in its Oct. 19 prospectus. The XRP treasury company registered 11,499,992 Class A shares issuable through existing public warrants, which give holders the right to purchase stock at $11.50 per share. Full cash exercise would generate approximately $132.2 million.
Describing how it intends to expand its holdings, Evernorth stated:
“We intend to raise capital using a variety of structures determined by market conditions and to purchase XRP with the proceeds through trading protocols designed to minimize slippage.”
Slippage is the difference between an expected trading price and the price actually obtained. The prospectus gives management discretion to use any net proceeds for general corporate purposes. Receiving that money depends on holders exercising their purchase rights for cash. The company noted: “There is no assurance that the holders of the public warrants will elect to exercise any or all of such warrants.”
Cash Investments and XRP Contributions Established the Treasury
Potential warrant receipts would supplement financing completed when Evernorth entered public markets with approximately 473 million XRP and about $300 million in gross cash proceeds before transaction expenses. Its completed business combination closed Oct. 9, bringing together cash subscriptions and direct contributions of XRP in exchange for equity.
Investors contributed a combined $224.55 million in cash and 800,000 XRP through two private placements in exchange for Evernorth shares. Both transactions closed with the merger on Oct. 9, following an administrative delay that changed the company’s merger and trading schedule.
Other investors provided XRP directly in exchange for ownership stakes in Evernorth or its operating subsidiary, Pathfinder Digital Assets LLC. These cryptocurrency contributions included approximately 211.3 million XRP from transaction sponsor Arrington XRP Capital Fund LP, 50 million XRP from Ripple-affiliated Larsen Lam Children’s Remainder Trust, and 126.8 million XRP from Ripple.
Additional Funding Would Also Increase the Share Count
For shareholders, warrant exercises would increase both available capital and the number of outstanding shares. Evernorth’s Nasdaq-listed common stock trades under XRPN, with warrants listed separately as XRPNW. The public warrants became exercisable upon the Oct. 9 closing, subject to registration requirements, and expire five years afterward unless redeemed earlier. Issuing shares would dilute existing shareholders’ ownership percentages.
The warrant terms also determine how those purchase rights can be settled. Evernorth can redeem warrants for one cent each with at least 30 days’ notice if specified $18 trading-price conditions are met. Certain registration-related circumstances permit cashless exercise, allowing holders to surrender warrants for a reduced number of shares without paying cash. Such exercises would generate no cash proceeds.
Changes in outstanding stock also affect Evernorth’s objective of increasing XRP holdings per share, which the company emphasized as it marked its Nasdaq listing on Oct. 14. Progress toward that objective depends on treasury growth relative to the share count.
Alongside further purchases, Evernorth plans to put portions of its existing treasury to work through institutional investment strategies. Its XRP deployment plans with Ripple, Coinbase, Kraken, and Bitgo target the fourth quarter, with partnership agreements subject to customary closing conditions and required regulatory and corporate approvals.
